End User License Agreement - Single Use Template

License Agreement: This End User License Agreement (EULA) is a legal agreement between Direct iT Inc, and the end user, whether an individual or entity. If you purchase the compliance kit you are agreeing to be bound by the terms of this licensing agreement.

This EULA grants you, the End User, a non-exclusive, limited license to use and modify the template.

Modifications

Template text and design: You are authorized to make any necessary modifications to the template text as needed to meet your specific purposes. You may not distribute the original or modified template without Direct iT Inc’s permission.

License Restrictions

a.) The End User may not sell, rent, sub-license, assign, transfer, lease, or sublease the Template.

Ownership

The End User is granted a limited use license through this EULA to use the Template. Compliancehelp.net reserves all rights and ownerships of all materials contained in this template product as well as all content on Compliancehelp.net. You may not claim intellectual or exclusive ownership to any of our content or products, modified or unmodified. This template is protected by United States Copyright and International Copyright laws.

Product Delivery

Upon successful receipt of your payment you will receive an email confirming your purchase. If you do not receive this email confirmation within one hour please email info@compliancehelp.net . You must provide a valid email address for communication purposes.

Other Provisions

a.) Should any provision of this Agreement be held to be void, invalid, unenforceable or illegal by a court, the validity and enforceability of the other provisions shall not be affected thereby. If any provision is determined to be unenforceable, you agree to a modification of such provision to provide for enforcement of the provision's intent, to the extent permitted by applicable law. Failure of a party to enforce any provision of this Agreement shall not constitute or be construed as a waiver of such provision or of the right to enforce such provision. If you fail to comply with any terms of this Agreement, your license is automatically terminated and you must then destroy all copies of the Template in your possession.

Limited Warranty

a.) Direct iT Inc warrants that, for a period of thirty (30) days, from the date of purchase, as shown on the receipt, if properly utilized on hardware and software for which it is designed, the Template will perform substantially in accordance with the instructions. Direct iT does not guarantee or warrant that the purchase of this kit will ensure full compliance with any regulatory standard. Direct iT will not be held responsible for any damages resulting from network breaches or noncompliance.

b.) Customer Remedies: At Direct iT Inc’s sole discretion, your remedy shall be:( i.) Downloadable Template: replacement of the defective Template through additional download. (ii.) Physical Template: repair or replacement of defective Templates. Owners of physical products can elect to receive replacements in the form of a download version of their product, although doing so will void their right to other remedies.

c.) To make a warranty claim, email info@compliancehelp.net. This Limited Warranty is void if failure of the Template has resulted in whole or in part from accident, abuse, misapplication or violation of this Agreement. In no event shall Direct iT Inc be liable for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use our products.

Any replacement TEMPLATE will be warranted for the remainder of the original warranty period or fifteen (15) days, whichever is longer. This warranty allocates risks of product failure between Licensee and Compliancehelp.net. THERE ARE NO OTHER WARRANTIES. Direct iT Inc DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE TEMPLATE AND ITS INSTRUCTIONS. Direct iT Inc DOES NOT WARRANT THE PRODUCT TO WORK WITH 3RD PARTY COMPONENTS, MODULES OR EXTENSIONS. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, MAY HAVE OTHERS, WHICH VARY FROM JURISDICTION TO JURISDICTION. DIRECT IT INC DOES NOT WARRANT THAT THE OPERATION OF THE TEMPLATE WILL BE UNINTERRUPTED, ERROR FREE OR MEET LICENSEE'S SPECIFIC REQUIREMENTS. THE WARRANTY SET FORTH ABOVE IS IN LIEU OF ALL OTHER EXPRESS WARRANTIES WHETHER ORAL OR WRITTEN. THE AGENTS OR EMPLOYEES OF DIRECT IT INC ARE NOT AUTHORIZED TO MAKE MODIFICATIONS TO THIS WARRANTY, OR ADDITIONAL WARRANTIES ON BEHALF OF DIRECT IT INC. ADDITIONAL STATEMENTS SUCH AS ADVERTISING OR PRESENTATIONS, WHETHER ORAL OR WRITTEN, DO NOT CONSTITUTE WARRANTIES BY DIRECT IT INC AND SHOULD NOT BE RELIED UPON.

d.) (USA ONLY) SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER LEGAL RIGHTS THAT VARY FROM STATE TO STATE.

Refund Policy

All license fees are non-refundable. Direct iT Inc does not issue refunds for products that are non-tangible downloadable goods.
